End User License Agreement

This End User License Agreement ("EULA") governs your use of the PlateCost client software, including any mobile applications distributed via app stores ("Licensed Application"), published by Lucasi Restaurants, LLC ("PlateCost," "we," "us," or "our"). Use of the underlying PlateCost service (account, data processing, billing) is governed by our Terms of Service, which this EULA does not replace. If you access PlateCost solely through a web browser, this EULA does not apply to you — the Terms of Service govern your use.

1. License Grant

Subject to your compliance with this EULA and the Terms of Service, PlateCost grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Licensed Application on devices you own or control, solely for your personal or internal business use in connection with the PlateCost service.

2. Restrictions

You agree not to:

  • Copy, modify, or create derivative works of the Licensed Application;
  • Reverse-engineer, decompile, or disassemble the Licensed Application, except where applicable law expressly permits it;
  • Rent, lease, sublicense, distribute, or transfer the Licensed Application to any third party;
  • Remove or obscure any proprietary notices.

3. Ownership

The Licensed Application is licensed, not sold. PlateCost and its licensors retain all right, title, and interest in and to the Licensed Application, including all intellectual property rights.

4. App Store Terms

If you obtained the Licensed Application from a third-party app store (e.g., the Apple App Store), your use is also subject to that store's usual terms of service. Where the Licensed Application is distributed via the Apple App Store, this EULA is between you and PlateCost only, not Apple, and Apple has no obligation to furnish maintenance or support. In the event of any failure of the Licensed Application to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); Apple has no other warranty obligation. Apple is not responsible for addressing any claims relating to the Licensed Application, and Apple is a third-party beneficiary of this EULA with the right to enforce it against you.

5. Termination

This license is effective until terminated. It terminates automatically if you fail to comply with any term of this EULA, or when your PlateCost account is closed. Upon termination, you must stop using and delete the Licensed Application.

6. Disclaimer and Governing Terms

The Licensed Application is provided "as is." Disclaimers of warranty, limitations of liability, and governing law are as set out in the Terms of Service, which govern to the extent not superseded by this EULA.
